Dr. Talal A. Debs, Founder and Director of Zefiro Methane Corp., announced that a preliminary injunction sought by a related party of the Company before the courts in New York was denied on February 27, 2026. The motion was brought by David McGrath, who has worked with the board of directors of the Company to seek to entrench the incumbent directors. After hearing testimony from Dr. Debs and Mr. McGrath and considering the arguments of counsel, the Court denied the motion on the grounds that Mr. McGrath has neither proven a likelihood of success on his claims nor irreparable harm.
Why it matters
This legal battle is part of a broader attempt by the incumbent directors to maintain control of Zefiro Methane Corp. The denial of the preliminary injunction is an initial victory for Dr. Debs and the Concerned Shareholders, who have accused the incumbent directors of taking various bad faith steps to entrench themselves, including the issuance of shares to allies immediately prior to the upcoming shareholder meeting.
The details
The NY Litigation was commenced by Mr. McGrath on October 1, 2025, as part of what the Concerned Shareholders believe to be a broader attempt to wrest control of XMC and XMST from Dr. Debs. The incumbent directors also launched a frivolous investigation into Dr. Debs' conduct, which has not resulted in any material findings despite consuming significant company resources. The Concerned Shareholders have filed a motion to dismiss the NY Litigation, which has been scheduled for March 19, 2026.
