Okmin to Acquire BevPoint Capital in Strategic Shift

Okmin Resources Inc. announced it has entered into an agreement to acquire BevPoint Capital LP, a company building a national portfolio of craft beverage and experiential hospitality brands. The transaction will see Okmin shift its strategic focus away from its legacy energy assets and towards the consumer-oriented beverage and hospitality sector. Upon closing, BevPoint's CEO Chris Sellers will assume the role of Chief Executive Officer, while Okmin's President Jonathan Herzog will become the incoming Chairman of the Board.

The details
Under the terms of the agreement, Okmin will issue 220 million shares of its common stock to the partners and management of BevPoint in exchange for 100% of the existing interests of BevPoint. This will give the BevPoint interest holders a majority of the issued and outstanding shares of the combined company. The transaction also includes additional earn-out consideration contingent upon the achievement of specified revenue and earnings milestones. BevPoint is required to make a minimum capital infusion of $730,000 prior to closing.
