The reorganized debtor Franchise Group (FRG) and AF Newco have agreed to drop their lawsuits against each other, filing a joint stipulation of dismissal in the U.S. Bankruptcy Court for the District of Delaware. This mutual decision ends a contentious legal battle over whether AF Newco fulfilled its obligations to FRG after acquiring 33 American Freight stores more than a year ago.

Why it matters

The settlement between FRG and AF Newco removes a major legal distraction for both companies as they work to move forward from the fallout of FRG's bankruptcy. It also sets a precedent for other franchise-related disputes to be resolved out of court rather than through protracted litigation.

The details

FRG initially sued AF Newco in September 2025 for breach of contract, seeking damages and a court declaration that an oral agreement between the two parties was valid and enforceable. AF Newco then filed counterclaims a month later, arguing the Transition Services Agreement had expired and that it was owed damages for breach of the Asset Purchase Agreement. In the end, both sides withdrew their claims, with the agreed dismissal dropping all claims and counterclaims with prejudice.

— Michelle V. Larson, U.S. Bankruptcy Judge

The takeaway

The settlement between FRG and AF Newco represents a pragmatic resolution to their legal disputes, allowing both companies to move forward without the distraction and costs of prolonged litigation. This type of out-of-court agreement could serve as a model for other franchise-related conflicts to be resolved more efficiently.
